Eukaryotic cells have a nucleus where they keep their DNA. Prokaryotic cells do not, their DNA floats around in the cytoplasm in a "region" know as the nucleoid.

There are two main differences between prokaryotic and eukaryotic cells. 1) Prokaryotic cells are primitive cells. They existed two billion years before eukaryotic cells. 2) Prokaryotic cells do not contain a nucleus or organelles like eukaryotic cells do. Prokaryotic cells DO contain DNA (like eukaryotic cells) but the DNA is not contained in a nucleus; it floats freely within the cell. There are other differences, but these are the basic differences.
